THE EVENT
Join us Thursday, February 10 at 4:00 p.m. for this workshop on Startup Fundamentals, and how to set-up your startup for success, from formation through exit.
Building a high growth startup and guiding it through to a successful exit is hard. This workshop will go in depth on what to do and why. It will also show you how to avoid the most common pitfalls that startup founders face. In addition, you will receive a comprehensive 50-page digital workbook that includes an actionable step-by-step guide which coincides with the curriculum of the workshop.
If you are a startup founder or entrepreneur, this is a workshop you do not want to miss!
This is the first of a three part workshop series on startup fundamentals lead by Roger Rappoport, a seasoned attorney and Partner at Procopio, where he founded and leads their Emerging Growth & Venture Capital Practice Group. You will need to register for each workshop individually. The second workshop will be in March focused on “Developing A Funding Strategy For Your Startup.” The third workshop will be in April and focused on “Understanding & Negotiating The Terms In Term Sheets.”
Here are just a few of the many questions that we will be answering in-depth during this first workshop:
• How to hire the right people?
• How to compensate the team?
• How to split the pie with co-founders and team members?
• How much equity to give investors and at what valuation?
• How to raise money and under what terms?
• And many more related topics!
Understanding how to avoid the most common pitfalls is very important for startup success. Here are just a few of the many startup issues that will be covered in this workshop:
Choices in entity selection; Creating an appropriate capitalization table; Co-founders vs early employees (should they be treated differently?); Appropriate allocations of founders’ stock (including Series FF Preferred Stock) between founders and vesting; Repurchase rights and rights of first refusal; Determining if and when it is appropriate to obtain proxies from co-founders/early employees; Stock allocation for employees, consultants, board and advisory board members; The perils of Section 409A under the Internal Revenue Code when granting options when milestone based vesting, as opposed to time based vesting, is appropriate; The assignment of intellectual property, and ensuring that all IP created belongs to the company; Executing employment/consulting agreements; The value of developing an intellectual property strategy early on….and so much more!
